Art Schema Referral Program Terms and Conditions

1. Acceptance of Terms.

The Art Schema Referral Program allows registered Art Schema Referral Program Participants (“Participant”) to earn lifetime referral commission for each referred person who makes a payment for one of the Art Schema subscription plans (“Referral Credit”).

The following terms and conditions (“Referral Terms”) govern your participation in the Art Schema Referral Program (the “Referral Program”) and are hereby incorporated by reference into our Terms of Service. These Referral Terms are a binding agreement between you and Art Schema. Capitalized terms not defined in these Referral Terms are defined in our Terms of Use.

By participating in the Referral Program, you agree to be bound by these Referral Terms and any modifications which might be made. If you do not agree to all of the terms and conditions of these Referral Terms, you may not participate in the Referral Program. Art Schema may in its sole discretion, modify or discontinue, temporarily or permanently, the Referral Program (or any part thereof) with or without notice. You agree that Art Schema shall not be liable to you, or to any third party, for any modification, suspension, or discontinuance of the Referral Program.

2. Program Overview

The program is available only for Art Schema registered users who have an invitation to become an Art Schema Referral Program Participant. Participants may earn Referral Credit for all valid and verified Qualified Referrals to new users who do not have an Art Schema account (“Referred Party”).
A Qualified Referral occurs when: (a) the Referred Party creates an account, inserts the referral code in the account settings and purchases an Art Schema Subscription Plan; and (b) the Referred Party has not cancelled her subscription.

For each Qualified Referral, the referring Participant will receive a Referral Credit in her account within 2 weeks of the Referred Party’s purchase of an Art Schema Subscription Plan. The value of the Referral Credit is based on the type of plan purchased by the Referred Party and makes the 50 % of the purchased plan. The value of the Referral Credit may differ from the amount mentioned in the Subscription Plan due to currency changes and third party fees.
Art Schema will pay Participant the Referral Credits in the form of a direct deposit or foreign electronic funds transfer to the banking account as indicated by Participant in their Account.

The referring Participant will not receive a Referral Credit from customers who cancel their account.

The referring Participant is solely responsible for keeping all information up to date, including postal and email addresses, name, payment information and any other personal information that will impact the ability to issue a valid payment.

Participant is responsible for all fees, taxes, exchange rates, surcharges and other expenses incurred in order to receive their Referral Credits.
If you receive the Referral Credit, you are responsible for all applicable taxes and fees resulting from it. By participating in the Program, you release Art Schema and their agents from all liability, including, without limitation, with respect to the Referral Credit.

Participant is solely responsible for ensuring its account information is accurate and current. Art Schema will not be responsible for any payments not received due to Participant failing to provide accurate and complete account information for payment, or any other relevant or required information.
Art Schema reserves the right, in its sole discretion not to pay any Referral Fees to Participant where Art Schema determines Participant’s actions are not consistent with the intent of this Program.

All amounts referenced or payable under this Agreement are in U.S. Dollars unless Art Schema notifies otherwise.

3. Severability

If any provision in these Referral Terms is declared invalid, void, or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. In such case, the parties shall endeavor in good faith to modify the invalid or unenforceable article or to agree on a new article that is valid and enforceable.

4. Indemnification

Participants agree to indemnify, defend, and hold Art Schema and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs, losses, or expenses, including attorney’s fees and costs, arising from, or related to any breach by the participant of any of these Referral Terms or any violation by Participant of applicable law.

5. Right to Termination

We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals as deemed fair and appropriate.

Either party may terminate this Agreement at any time in the event the other party commits a material breach of any provision of this Agreement, provided that the terminating Party shall provide written notice of that material breach and thirty days’ period and meaningful opportunity for the breaching party to cure such breach.

Art Schema reserves the right to void Referral Credit or suspend accounts if we suspect any activity that is abusive, unlawful, improper, or fraudulent or if we have reason to assume you are in breach of these Referral Terms.

6. Updates to the Terms

Art Schema reserves the right at any time, and from time to time in our sole discretion, to modify these Referral Terms. If we modify these terms, we will post the modification on the website. Continued participation in the Referral Program after any such modification shall constitute consent to such modification.
